SCHEME AGM
The ESPS holds an online Annual General Meeting (AGM) for members each November.
This year’s event
This year’s AGM will take place on Tuesday, 18 November 2025 starting at 1pm.
The purpose of the AGM is to:
- receive the Scheme’s Annual Report & Financial Statements;
- receive the Auditor’s Report and the Report of the Scheme; and
- conduct any general business including any resolutions proposed by members.
Although the AGM relates to the Scheme and isn’t business-specific to the Group or other individual ESPS Groups, NGE Group members are welcome to attend. You can raise resolutions related to the ESPS (but not the Group) in advance, attend the annual event online and vote on resolutions.
Resolutions
Members of the Scheme can suggest a written resolution (an idea or proposal) for other Scheme members attending the AGM to consider and vote on. Members have up to 28 days before the date of the Scheme AGM each year to submit a written resolution to the Scheme Secretary. The deadline for receiving resolutions this year is Tuesday, 21 October 2025. Any Scheme AGM resolutions received will be subject to approval following advice from EPTL’s legal advisers, Fieldfisher.
Members’ resolutions voted on and carried at the Scheme AGM don’t have any power conferred upon them and cannot instruct EPTL, Group Trustees, Employers or others involved in the running of the Scheme. If resolutions are carried at the Scheme AGM, Electricity Pensions Limited (EPL) and Electricity Pensions Trustee Limited (EPTL) will be notified but may or may not decide to take any action in response to the resolution. Only Scheme members are allowed to vote on resolutions.
Members may raise any matters of concern at Group level at any time by contacting NGE Group via Trustee Services at: NGEGESPS@Barnett-Waddingham.co.uk
How to register for this year’s event
The event is held as a webinar. If you wish to attend, you’ll need to register with EPTL in advance to access the video link.
Information will be published on the ESPS website about this year’s event in due course including how to register to attend the online meeting. A ‘test run’ for joining the AGM is usually held for members who are new to the event in November each year, a week or so before the event takes place.
Anyone who wishes to attend the Scheme AGM virtually will need to provide their contact details. This information will be held to allow EPTL to contact attendees if arrangements are changed and will be dealt with in accordance with data privacy legislation.
If you don’t have internet access, you can still join the Scheme AGM by telephone and listen in, but you won’t be able to vote or ask questions.
